• Group Ethical Wall Policy and Control Room Function The Group Ethical Wall Policy (EWP) governs the handling and control of Material Non-Public Information (MNPI) and Price Sensitive Information (PSI) within Bank Islam Group and its subsidiaries - BIMB Investment Management Berhad and BIMB Securities Sdn Bhd. The policy aims to prevent conflicts of interest and misuse of sensitive information for personal financial gain. The policy is enforced through the “Control Room” function, which monitors the personal account trading of employees designated as Permanent Insiders and Access Employees, and tracks wall-crossing activities. This initiative ensures the proper safeguarding of MNPI and sensitive information, reinforcing fair practices and integrity in the Financial Wholesale Market. • Group Whistleblowing Policy (GWP) The GWBP offers a channel for employees and members of the public to report any unethical or improper conduct within Bank Islam Group while ensuring protection for those who come forward with allegations. It aims to promote and develop a culture of transparency, accountability, and integrity. Any disclosure of improper conducts depending on the identity of the person being complained against, shall be made via the tier-based disclosure structure extending to the subsidiaries as well. • Group Anti-Bribery and Corruption Policy (GABCP) The GABCP reflects Bank Islam’s commitment to integrity and ethical business practices. It is aligned with all relevant laws and regulations, including the National AntiCorruption Plan (NACP), the Malaysian Anti-Corruption Commission (MACC) Act 2009, and the Anti-Bribery Management System (ABMS) ISO37001 standard. The GABCP emphasises a zero-tolerance stance toward bribery and corruption, guiding Bank Islam to address all corruption-related issues effectively. This includes actions related to bribery, conflicts of interest, impartiality, abuse of power, and the evaluation of legitimate business activities, ensuring compliance with all relevant anticorruption policies. Additionally, the GABCP outlines criteria for determining the appropriateness of gifts, entertainment, hospitality, or expenses, in line with Transparency International UK’s (TI UK) Gift and Hospitality - Anti-Bribery Guidance. • Group Gift Policy (GGP) The GGP establishes clear guidelines for all employees regarding the acceptance and offering of gifts. It outlines which gifts may be appropriately given or received from third parties, ensuring the highest ethical and integrity standards are upheld. The policy defines the conditions under which gifts are acceptable and identifies those that are prohibited. It stresses that employees may accept permissible gifts, if doing so does not compromise their position or harm relationships with third parties if declined. Any accepted gifts must be disclosed through the internal digital platform, Humane. • Financial Crime Compliance The Group has implemented robust controls to identify, prevent, detect, and respond to money laundering and terrorist financing activities. The AML/CFT policy clearly defines the roles, responsibilities, and accountability of the Board of Directors, Senior Management, and employees in addressing these risks. • Bank Islam Group’s Business Associates Awareness Programme As part of its ongoing efforts and in accordance with Section 17A of the MACC Act 2009, which introduced the Corporate Liability provision effective 1 June 2020, Bank Islam has communicated its Anti-Corruption Principles and Guidelines to all Business Associates. The guidelines emphasise a zero-tolerance approach to bribery and corruption. Business Associates are required to acknowledge the Bank Islam Group Integrity Kit, affirming their commitment to uphold the Group’s reputation by engaging in honest and ethical business practices while adhering to the Group’s core value, “Act with Integrity”. To ensure alignment with Bank Islam’s commitment to maintaining a corruption-free organisation, the Compliance Academy, Planning & Strategy (CAPS) conducted a refresher session to business associates on 16 December 2024.
