During FY2024, no Independent NED had served the Board for more than nine (9) years from the date of his/her appointment, in line with Bank Islam’s Board Charter that limits an Independent NED’s tenure of service to a maximum of nine (9) years. BOARD GOVERNANCE The roles and responsibilities of the Chairman and the GCEO are clearly demarcated by a distinct division of responsibilities which are defined and approved by the Board, in line with best practices to ensure the appropriate supervision of management. This distinction allows for better understanding and distribution of jurisdictional responsibilities and accountabilities. The Board has also appointed a member of the Board as a Senior Independent NED, whose role is to serve as a sounding board to the Chairman, a representative of the NEDs and as an additional point of contact for all stakeholders who wish to convey any concerns in relation to BIMB. The Board has designated Datuk Bazlan Osman as the Senior Independent NED.
